NON-EXCLUSIVE BEAT LICENSE AGREEMENT

Licensor: Nick James, hereinafter referred to as the “Licensor.”

Licensee: [Customer’s Name], hereinafter referred to as the “Licensee.”

GRANT OF LICENSE

Licensor grants Licensee a non-exclusive, non-transferable license to use the beat titled “WHISPERS” (“Beat”) for the following purposes:

• Recording and releasing a song (vocals can be added).
• Streaming and digital distribution (Spotify, Apple Music, YouTube, etc.) up to 50,000 total streams.
• Music videos (up to 50,000 views).
• Live performances & radio play (non-commercial).

RESTRICTIONS

• Licensee CANNOT resell, re-license, or distribute the Beat as an instrumental.
• Licensee CANNOT claim exclusive rights to the Beat.
• Licensee CANNOT use the Beat in TV, film, or commercial placements without further licensing.

CREDIT REQUIREMENT

Licensee must credit Licensor as follows:
“Produced By: Nick James Records” in all releases, metadata, and descriptions.

PAYMENT

Licensee agrees to pay $5.00 for this non-exclusive license. Payment is due upon signing this Agreement.

OWNERSHIP

Licensor retains 100% ownership of the Beat. This license grants limited usage rights to the Licensee but does not transfer any ownership or copyright.

TERM & TERMINATION

• This license is valid forever until the 50,000 stream/download limit is reached.
• Licensee must notify Licensor immediately once the stream/download limit is reached.
• If the Licensee fails to notify Licensor of exceeding the limit, Licensor has the right to initiate renegotiation.
• After exceeding the limit, Licensee must renegotiate terms for continued use. The renegotiation may include an exclusive license, a royalty percentage, or an additional payment based on the song’s success.
• Failure to renegotiate the terms or stop usage after the limit is reached may result in legal action.

GOVERNING LAW

This Agreement shall be governed by the laws of Missouri.

ENTIRE AGREEMENT

This Agreement constitutes the full understanding between both parties and supersedes all prior discussions.

ELECTRONIC SIGNATURE AND AGREEMENT

By purchasing this beat, the Licensee agrees to the terms and conditions outlined in this Agreement. The Licensee acknowledges that this purchase constitutes a valid and legally binding electronic signature. This electronic agreement carries the same legal force and effect as a handwritten signature and is enforceable under applicable laws, including the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA).
